The March Group, a leading private mergers and acquisitions firm specializing in the sale of middle-market businesses, announced today that its client, Pivot Assist LLC, has entered into a capital partnership with
Machine-Pro Technologies Inc., an Ohio-based manufacturer of precision-machined products.
Pivot Assist, also located in Ohio, owns three patents for a patient transfer device that helps caregivers move infirm patients around. Machine-Pro is providing the funding and production facilities to manufacture the device.
“This is an ideal partnership,” said The March Group’s
Lynn von Hollander, vice president, capital markets, who managed the deal.
“Pivot Assist has an idea patented and Machine-Pro has the tools, and the companies are conveniently close geographically.”Pivot Assist became a client of The March Group in July 2008. The health care-device company was in the very early stages of development, with no staff, no operations, and no product (other than two working prototypes of the patient transfer device).
“A needle in a haystack is what they were looking for and that is exactly what we found for them,” said von Hollander. Rollie Hahn of Pivot Assist knew that finding someone to buy his idea would be a tough task; Pivot Assist was also looking for a partner to provide cash to manufacture the patient device.
When The March Group introduced Pivot Assist to Machine-Pro Technologies, it was obvious the companies would be a good fit, von Hollander said. Machine-Pro is a well-established CNC machining shop that produces precision-machined products for a wide variety of industries.
“Machine-Pro was ideally suited to be a strategic partner with Pivot Assist to enable them to produce their patient transfer device,” von Hollander said.
The device is targeted for the acute care, extended care, outpatient care, and home health care markets. The invention helps caretakers transfer a frail or debilitated patient from a bed to a chair or wheelchair, or from a chair/wheelchair to a toilet or bathtub (and back again). Using the device reduces the risk that caregivers will suffer back, shoulder and leg injuries due to heavy lifting.
The capital partnership between Pivot Assist and Machine-Pro Technologies highlights an increase in acquisition activity within the health care sector and the key role The March Group can play in brokering such M&A transactions.
